Terms of service

These terms govern your use of Upbuild, a hosted MCP connector provided by Uptimal ("we"). Section 1 names the group companies behind it and sets out what each one does. By connecting or using Upbuild you accept these terms on your own behalf or on behalf of the organization you represent.

1. Who you are contracting with

Upbuild is a product of Uptimal. Two companies in the same group are involved, and it is worth being precise about which does what:

• Uptimal FZCO (Dubai, United Arab Emirates) provides the Upbuild service and the subscription. It is the party you contract with under these terms and the party that invoices you.
• Madtechers SLU, trading as Uptimal (CIF B01878834, Calle Viladomat 208, P.5 Pta.1, 08029 Barcelona, Spain), holds the Meta application behind Upbuild and operates the Meta integration, processing Meta advertising data on behalf of subscribers who connect a Meta ad account.

Both companies trade as Uptimal. In these terms, "we" and "Uptimal" refer to whichever company performs the function being described. Either can be reached at [email protected].

2. The service

Upbuild lets you query advertising and analytics accounts you already have access to (Google Tag Manager, Google Analytics, Google Ads, Campaign Manager 360, Display & Video 360, Meta Ads, TikTok Ads, Snapchat Ads, Adobe Analytics and Adobe Experience Platform Tags) from MCP-compatible AI assistants. All tools are read-only. The service depends on third-party platforms and assistants we do not control; their availability, quotas and terms apply to your use of them.

3. Accounts and access

You connect with your own Google (and optionally Meta) credentials via OAuth. You are responsible for having the right to access the accounts you query and for complying with the terms of the platforms involved. You must not share a single connection across people; each user connects individually.

4. Free trial

Each user gets one 14-day free trial. It starts on the first tool call and requires no payment method. When it ends, continued use requires an active subscription.

5. Subscriptions and billing

Plans are billed monthly or annually in EUR or USD through Stripe. Entitlements are enforced per tool call. You can subscribe, change plan, update payment details or cancel at any time through the Stripe customer portal, reachable from the chat via the billing tool. Cancellation takes effect at the end of the current billing period. Prices may change with reasonable prior notice; changes apply from the next renewal. Taxes may be added where required. Subscriptions are contracted with and invoiced by Uptimal FZCO.

6. Acceptable use

• No attempts to circumvent entitlements, rate limits or trial limits.
• No use that violates law, the rights of others, or the terms of Google, Meta, Anthropic, OpenAI or your assistant provider.
• No probing, scanning or disrupting the service, and no automated bulk extraction designed to replicate the underlying platform APIs at scale.
• Fair use of shared API quota; we may offer dedicated quota options for high-volume needs.

7. Your data

How we handle personal data and platform data is described in the privacy policy. In short: read-only scopes, encrypted token storage, brief caching, no model training, no resale.

8. Intellectual property

Upbuild, its software, branding and documentation remain the property of Uptimal. Your platform data remains yours. Third-party names (Google, Meta, Claude, ChatGPT and others) are trademarks of their respective owners; Upbuild is not affiliated with or endorsed by them.

9. Availability and changes

The service is provided "as is" and "as available". We may update, add or remove tools and features, and may suspend access to protect the service or comply with platform requirements. We aim for high availability but do not guarantee uninterrupted operation, and we are not responsible for outages or changes in third-party APIs and assistants.

10. Liability

To the maximum extent permitted by law, Uptimal is not liable for indirect, incidental or consequential damages, loss of profits, or decisions taken on the basis of data returned by the service. Our total aggregate liability is limited to the fees you paid for the service in the twelve months preceding the claim. Nothing in these terms excludes liability that cannot be excluded by law.

11. Termination

You can stop using the service and disconnect at any time. We may suspend or terminate access for breach of these terms, non-payment, or where required by a platform or by law. Sections that by their nature should survive (including 6, 7 and 9) survive termination.

12. Governing law

These terms are governed by the laws of the United Arab Emirates. Disputes are subject to the courts of Dubai, UAE, without prejudice to mandatory consumer protections that may apply in your place of residence.
